1. Scope of Services

The Provider offers full-stack web development services, including but not limited to:

  • Custom web application development (React, Next.js, WordPress).
  • SEO optimization and technical audits.
  • Maintenance and “Website as a Service” (WaaS) subscriptions.

Each mission is defined by a specific quote (Devis) or a service contract signed by the Client.

2. Pricing and Payment Terms

  • Hourly Rate: The standard base rate is 30 € per hour (VAT not applicable, art. 293 B of the CGI).
  • Fixed Price: For specific projects, a flat fee may be agreed upon in the quote.
  • Deposit: For any project exceeding 500 €, a 30% deposit is required before work commences.
  • Payment Methods: Payments are due within 15 days of invoicing via Stripe or bank transfer.
  • Late Fees: Penalties equal to three times the legal interest rate plus a 40 € recovery fee for professionals (Art. L441-10 of the Commercial Code).

3. Intellectual Property

  • Project-Based Work: Ownership of the specific source code and final deliverables is transferred to the Client only upon full payment of the agreed price.
  • Pre-existing Tools: The Provider retains ownership of any generic libraries, tools, or methods developed prior to or independently of the mission.
  • Subscription (WaaS): For subscription-based services, the infrastructure and code remain the property of the Provider.

4. Obligations and Liability

  • Obligation of Means: The Provider commits to performing tasks with professional diligence (obligation de moyens).
  • Limit of Liability: The Provider’s liability is strictly limited to the amount paid by the Client for the specific service or phase causing the dispute.
  • Third-Party Services: The Provider is not responsible for outages caused by external platforms (hosting, APIs, etc.).

5. Termination

  • Projects: Either party may terminate the contract if the other fails to meet obligations, subject to 15 days’ notice. Work completed up to that point remains due.
  • Subscriptions: Cancellation requires 30 days’ notice before the next renewal date.

6. Mediation and Jurisdiction

In accordance with French law, the Client may contact a consumer mediator in the event of a dispute. If no amicable solution is found, the courts in the jurisdiction of the Provider’s registered office shall have sole competence.
